1. Definitions

• "Supplier" means Shoreline Engineering Ltd.
• "Customer" means the party accepting this Estimate.
• "Goods" means any products supplied.
• "Services" means any work, consultancy, installation or support provided.

2. Basis of Agreement

• Quotes and Estimates are valid for 30 days unless stated otherwise.
• A binding agreement is formed when the Customer accepts the Estimate in writing (including email).
• These Terms override any Customer purchasing terms unless agreed in writing.

3. Scope of Supply

• The scope is limited to what is explicitly described in the Estimate.
• Any additional work, variation, or change will be quoted separately.
• The Supplier is not responsible for assumptions not stated in writing.

4. Price and Payment

• Prices are exclusive of VAT unless stated otherwise.
• Payment terms: 30 days from date of invoice.
• The Supplier may invoice in stages and charge interest on overdue amounts and suspend work if payments are overdue.

5. Delivery of Goods

• Delivery dates are estimates, not guarantees.
• Delivery prices charged will be based on actual costs.
• Risk passes to the Customer upon delivery or collection.
• The Supplier is not liable for delays outside its control.

6. Title (Ownership of Goods)

Ownership remains with the Supplier until full payment is received.

7. Services

• Services will be provided with reasonable care and skill.
• The Customer must provide access, information, and cooperation required.

8. Variations and Changes

Any change must be agreed in writing and may affect price and delivery.

9. Warranty

• Goods: covered by manufacturer's warranty where applicable. The Supplier provides no warranty for goods it resells.
• Services: defects must be notified to the Supplier within 30 days.

10. Limitation of Liability

• Total liability is limited to the value of the Estimate.
• No liability for indirect or consequential loss.

11. Cancellation

Cancellation is subject to charges for work completed and materials purchased.

12. Force Majeure

No liability for delays caused by events beyond reasonable control.

13. Intellectual Property

All drawings, designs, and documents remain the property of the Supplier.

14. Confidentiality

Both parties agree to keep commercially sensitive information confidential.

15. Governing Law

This agreement is governed by Irish law.

16. Drawings and Specifications

• The Customer is responsible for the accuracy and completeness of drawings and specifications.
• The Supplier is not liable for errors in customer-provided information.

17. Tolerances

• Standard manufacturing tolerances apply unless otherwise agreed in writing.
• Minor deviations within accepted tolerances shall not be deemed defects.

18. Materials

• Materials will be sourced to standard specifications.
• Equivalent substitutions may be made where necessary.

19. Inspection and Acceptance

• The Customer must inspect work within 7 days of delivery.
• Claims must be made in writing within this period.

20. Rework and Returns

• Rework applies only to non-conforming items.
• The Supplier's obligation is limited to repair or replacement.
• The Supplier is not liable for downstream costs.

21. Tooling and Setup

• Tooling remains the property of the Supplier unless agreed otherwise.
• Setup costs may be charged separately.
